Introduction

These Terms of Use ("Terms") govern your use of the VendorHub website and any subdomain operated by VendorHub Technologies LLC ("VendorHub," "we," "us," or "our"), together with the VendorHub platform and related services (collectively, the "Site"). By using the Site, you accept these Terms in full. If you disagree with these Terms or any part of them, you must not use the Site.

You must be at least 18 years of age to use the Site. By using the Site and agreeing to these Terms, you warrant and represent that you are at least 18 years of age.

Where VendorHub is made available to you through a partner organization such as a mortgage lender, title company, brokerage, or real estate platform, your use may also be subject to a separate written agreement between VendorHub Technologies LLC and that organization. Where that agreement conflicts with these Terms, the written agreement controls.

Personal and noncommercial use limitations

Except as expressly permitted under a written agreement with us, the Site is for your personal and noncommercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Site.

You specifically agree not to access, or attempt to access, the content of the Site through any automated means, including the use of any script, web crawler, robot, spider, or scraper, and you agree not to forge or manipulate identifiers in order to disguise the origin of any access or attempted access to the Site.

Messaging terms and conditions

If you provide us with a mobile number, you agree to receive informational messages from VendorHub, such as referral notifications, appointment reminders, and account notifications. Message frequency varies. Message and data rates may apply. For help, reply HELP or email us at info@myvendorhub.com. You can opt out at any time by replying STOP.

Use of email, live chat, and SMS

You agree to use the communication methods made available by VendorHub only to send messages and material that are proper and related to the subject matter for which the communication method was made available. By way of example, and not as a limitation, you agree that you will not:

  • Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others, including rights of privacy and publicity;
  • Publish, post, distribute, or disseminate any defamatory, infringing, obscene, indecent, false, untruthful, or unlawful material or information; or
  • Advertise or offer to sell goods or services, or conduct or forward surveys, contests, or chain letters, outside of the vendor and referral functionality the platform is designed to support.

You acknowledge that communications to or from vendors or other service providers are not endorsed by us, and that such communications are not reviewed, screened, or approved by us.

License to use the website

Unless otherwise stated, VendorHub Technologies LLC and/or its licensors own the intellectual property rights in the Site and the material on the Site. Subject to the license below, all these intellectual property rights are reserved.

You may view, download for caching purposes only, and print pages from the Site for your own personal use, subject to the restrictions set out below and elsewhere in these Terms. You must not:

  • Republish material from the Site, including republication on another website;
  • Sell, rent, or sub-license material from the Site;
  • Show any material from the Site in public;
  • Reproduce, duplicate, copy, or otherwise exploit material on the Site for a commercial purpose;
  • Edit or otherwise modify any material on the Site; or
  • Redistribute material from the Site, except for content specifically and expressly made available for redistribution.

Where content is specifically made available for redistribution, it may only be redistributed within your organization.

Limitations of liability

VendorHub Technologies LLC will not be liable to you, whether under the law of contract, the law of torts, or otherwise, in relation to the contents of, use of, or otherwise in connection with the Site:

  • To the extent that the Site is provided free of charge, for any direct loss;
  • For any indirect, special, or consequential loss; or
  • For any business losses, loss of revenue, income, profits, or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data.

These limitations of liability apply even if VendorHub Technologies LLC has been expressly advised of the potential loss.

Exceptions

Nothing in these Terms will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit, and nothing in these Terms will exclude or limit our liability in respect of death or personal injury caused by our negligence, fraud or fraudulent misrepresentation on our part, or any matter which it would be illegal or unlawful for us to exclude or limit, or to attempt or purport to exclude or limit, our liability.

Reasonableness

By using the Site, you agree that the exclusions and limitations of liability set out in these Terms are reasonable. If you do not think they are reasonable, you must not use the Site.

Other parties

You accept that, as a limited liability entity, VendorHub Technologies LLC has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against our officers or employees in respect of any losses you suffer in connection with the Site. You further agree that the limitations of warranties and liability set out in these Terms will protect our officers, employees, agents, subsidiaries, successors, assigns, and subcontractors as well as VendorHub Technologies LLC.

Vendors and service providers

Services offered by vendors listed, referred, or otherwise made available through the Site are provided directly by the applicable vendor or service provider. When you engage a vendor through VendorHub, you are contracting directly with that vendor, which will be providing that product or service to you. VendorHub facilitates the introduction, referral tracking, and related administration; you are not purchasing or ordering products or services from VendorHub Technologies LLC when you engage a vendor.

Although we are interested in receiving feedback regarding vendors and their products and services, and may from time to time assist in your dealings with them, VendorHub Technologies LLC is not responsible for the performance of any vendor. We make no representation about the suitability of the information, software, products, or services contained on the Site for any purpose. All such information, software, products, and services are provided "as is" without warranty of any kind. We hereby disclaim all warranties and conditions with regard to this information, software, products, and services, including, without limitation, all implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

In no event shall we be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of the Site, or with any delay or inability to use the Site, or for any information, software, products, or services obtained through the Site, whether based on contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of damages.

Availability and changes

Vendor categories, program features, and availability are subject to change without notice and vary by market, partner program, and applicable law. We reserve the right to revoke any offering and to correct any errors, inaccuracies, or omissions that may occur. You have no obligation to use the Site or to contract with any vendor made available through the Site. Vendors are not obligated to offer their products or services through the Site, and we may not make available all vendors capable of offering products and services at your location.

Indemnity

You hereby indemnify VendorHub Technologies LLC and undertake to keep VendorHub Technologies LLC indemnified against any losses, damages, costs, liabilities, and expenses, including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers, incurred or suffered by us arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these Terms.

Without prejudice to our other rights under these Terms, if you breach these Terms in any way, we may take such action as we deem appropriate to deal with the breach, including suspending your access to the Site, prohibiting you from accessing the Site, blocking computers using your IP address from accessing the Site, contacting your internet service provider to request that they block your access to the Site, and bringing court proceedings against you.

General provisions

Variation

VendorHub Technologies LLC may revise these Terms from time to time. Revised Terms will apply to the use of the Site from the date of publication of the revised Terms on this page. Please check this page regularly to ensure you are familiar with the current version.

Assignment

We may transfer, subcontract, or otherwise deal with our rights and obligations under these Terms without notifying you or obtaining your consent. You may not transfer, subcontract, or otherwise deal with your rights or obligations under these Terms.

Severability

If a provision of these Terms is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions will continue in effect. If any unlawful or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

Entire agreement

These Terms constitute the entire agreement between you and VendorHub Technologies LLC in relation to your use of the Site, and supersede all previous agreements in respect of your use of the Site, except for any separate written agreement between VendorHub Technologies LLC and a partner organization through which you access the platform.

Law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, excluding conflicts of law principles. Any disputes relating to these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.
